Structuring built to withstand scrutiny.

Sam Ayoubi is a specialist in revenue law, tax and transaction structuring, engaged to assist and advise accountants, lawyers and business owners on complex or novel tax issues and commercial matters - including entity and transaction structuring, and matters involving regulators such as audits, reviews, objections, rulings and appeals.

He has held senior roles at three of Australia's leading professional services firms. Most recently, he was Managing Director at PwC Australia (2022–2024), acting as national lead for Private Client tax risk and governance and as a trusted adviser to private clients, property enterprises and families on tax, commercial, personal and legal matters. Before that, he was a Director at KPMG Australia (2019–2022), covering advisory, compliance, disputes and controversy work across tax, estates, superannuation and legal matters, and a lawyer at Brown Wright Stein Lawyers (2016–2019), advising and educating businesses and their advisers on tax, superannuation, commercial and other legal matters.

For Runway Partners' clients, that combination of accounting, legal and tax-specific expertise means structuring and tax decisions made early in a business's growth are built to withstand scrutiny when it comes time to sell — reducing the risk of issues surfacing during due diligence or negotiation.

Sam is valued by fellow professionals and clients alike for his ability to synthesise complex, uncertain or disputed issues into clear, practical guidance.
